Terms of Service

1. Who we are
The MakePodcast service (the "Service") is operated by Eitan Elnekave, a sole proprietor registered in Israel trading as "MakePodcast" ("we", "us"). For any matter, email team@makepodcast.app. Using the Service, including purchasing a subscription, constitutes acceptance of these Terms.
2. The service
MakePodcast is an AI-powered tool for creating and editing podcasts, clips, and short-form videos from material you provide. We may change, add, or discontinue features from time to time.
3. Eligibility & accounts
You must be 18 or older (or the age of majority where you live) to use the Service. You must provide accurate, current details when creating an account, keep your credentials confidential, and you are responsible for all activity under your account.
4. Acceptable use
You agree to use the Service lawfully only; not to upload content you are not entitled to use or that infringes another's rights; not to upload unlawful, abusive, or misleading content; and not to attempt to damage, disrupt, overload, or circumvent the Service's security.
In particular, you must not use the Service to: (a) upload, recreate, animate, or generate the face, likeness, or voice of any real person without that person's explicit, verifiable consent; (b) create face swaps, deepfakes, or any deceptive or misleading synthetic media; (c) impersonate any individual, public figure, or celebrity, or clone any real person's voice; (d) depict minors, or create sexual, adult, hateful, harassing, defamatory, or violent content; or (e) infringe any third party's intellectual property, privacy, or publicity rights. You confirm that any face, voice, or other material you upload is your own or that you hold all rights and consents required to use it, and you indemnify us against claims arising from content you upload or generate. We may review, refuse, remove, or restrict content, and suspend or terminate accounts that breach this section.
5. Subscriptions, billing & Polar
The Service is offered on paid subscription plans, including credits and usage bundled into the plan you select at checkout. Payments and the sale are processed by Polar Software, Inc.("Polar"), which acts as the Merchant of Record and our authorized reseller. When you purchase, you also enter into a contract with Polar, and Polar's terms apply alongside these Terms. Polar handles billing, receipts, and the collection of any applicable taxes.
Your subscription renews automatically at the end of each billing cycle (monthly or annual, as you choose) at the price and frequency shown at purchase, until cancelled. We may update prices and plans, and will give you advance notice of any price change to your subscription before it renews.
6. Cancellation
You may cancel your subscription at any time through your account settings or via Polar. After cancellation no further charges are made, and access to the Service continues until the end of the current paid period you have already paid for.
7. Refunds
Amounts paid are non-refundable, except where a refund is required by law or under Polar's terms. Full details are in our Refund Policy.
8. Intellectual property & your content
All rights in the Service itself, including the software, design, marks, and code, are owned by us or our licensors. The content you upload and the outputs you create remain yours; you grant us a limited license to process, store, and display that content solely to operate the Service for you. You represent that you hold the rights needed in any material you upload.
In addition, you grant us a non-exclusive, worldwide, royalty-free license to publicly display videos you create with the Service, including any name, image, likeness, and voice appearing in them, in the Service's public examples gallery and in our marketing and promotion of the Service. We choose which videos to feature and never publish your contact details alongside a featured video. You may ask us at any time to stop featuring a specific video by emailing team@makepodcast.app, and we will remove it within a reasonable time.
9. AI-generated output
Outputs are generated automatically and may contain inaccuracies. We do not guarantee that outputs are accurate, unique, or non-infringing, and you are responsible for reviewing them and confirming their suitability and your right to use them before publishing. Outputs may be watermarked or labelled as AI-generated; you must not remove such labels or present AI-generated content as authentic in any deceptive or unlawful way.
10. Third-party services
The Service relies on third-party providers (such as Polar for payments and infrastructure and AI providers). Their use is subject to their terms, and we are not responsible for their operation.
11. Disclaimer
The Service is provided "as is" and "as available". We do not guarantee continuous or error-free availability.
12. Limitation of liability
To the maximum extent permitted by law, Eitan Elnekave shall not be liable for any indirect, consequential, or special damages arising from the use of, or inability to use, the Service. In any event, our total liability shall not exceed the amount you paid for the Service in the three months preceding the event.
13. Suspension & termination
We may suspend or close an account that breaches these Terms. You may stop using the Service at any time by cancelling your subscription and closing your account.
14. Governing law & jurisdiction
These Terms are governed by the laws of the State of Israel, and the competent courts of the Tel Aviv District, Israel shall have exclusive jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the updated Terms.
